These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you,” “your,” or “Customer”), and PixlFlip Enterprises (“PixlFlip,” “we,” “us,” or “our”) concerning your access to and use of https://pixlflip.net, related customer portals, order forms, billing systems, support channels, and any services purchased through or connected to them (collectively, the “Site” and “Services”).
By accessing the Site, creating an account, placing an order, paying an invoice, or using any Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.
1. Eligibility
The Site and Services are intended for users who are at least 18 years old and able to enter into a binding agreement. By using the Site or Services, you represent that you meet these requirements and that all registration, billing, and contact information you provide is accurate, current, and complete.
2. Accounts and Security
You may be required to create an account to order or manage Services. You are responsible for maintaining the confidentiality of your login credentials, payment access, SSH keys, API tokens, and any other credentials associated with your account or Services. You are responsible for activity that occurs under your account, whether authorized by you or not, unless caused solely by PixlFlip’s own breach of these Terms.
We may suspend, restrict, reclaim, or terminate accounts that contain false information, violate these Terms, create security risk, abuse the platform, or interfere with other customers or PixlFlip infrastructure.
3. Services
PixlFlip provides technology services that may include managed websites, hosting, virtual servers, application hosting, email and cloud workspace support, backups, monitoring, automation, consulting, and related infrastructure services. Specific descriptions, limits, included support, pricing, setup fees, renewal periods, and billing cycles are shown at the time of order or in a written agreement.
Service availability, technical capabilities, locations, IP addressing, bandwidth, storage, backups, and management features may vary by product. We may decline, modify, or cancel an order if the requested configuration is unsafe, unavailable, violates these Terms, or cannot be responsibly delivered.
4. Billing, Payments, and Renewals
You agree to pay all fees shown at checkout, on invoices, or in written quotes. Recurring Services renew according to the billing period shown for the Service unless cancelled according to these Terms or an applicable written agreement. Setup fees, usage fees, recurring charges, taxes, payment processor fees, and other charges may apply as disclosed at checkout or on invoice.
Payments are processed through third-party payment processors such as Stripe. By submitting payment information, you authorize the applicable processor and PixlFlip to charge the amounts due. PixlFlip does not control all aspects of third-party payment processing and is not responsible for outages, declines, fraud controls, disputes, or other processor-side issues except to the extent required by law.
Unpaid or overdue invoices may result in suspension, restriction, data retention limits, or termination of Services. Refunds, credits, and billing adjustments are provided at PixlFlip’s discretion unless otherwise required by law or stated in a specific service agreement.
5. Customer Responsibilities
You are responsible for:
- the content, software, data, users, credentials, and activity associated with your account and Services;
- ensuring your use of the Services complies with applicable laws and regulations;
- maintaining appropriate backups unless a specific backup service is included in your plan;
- securing your applications, passwords, SSH keys, API keys, and administrative panels;
- responding promptly to abuse, security, billing, or operational notices from PixlFlip.
6. Prohibited Activities and Acceptable Use
You agree not to use the Site or Services to:
- violate any law, regulation, contract, intellectual property right, privacy right, or third-party right;
- send spam, unsolicited bulk messages, phishing, scams, or deceptive communications;
- host or distribute malware, botnets, credential theft tools, exploit kits, or harmful code;
- attack, scan, disrupt, overload, or gain unauthorized access to any system, network, or account;
- operate services that intentionally evade abuse controls, sanctions, law enforcement, or payment restrictions;
- store, process, or distribute illegal, abusive, exploitative, hateful, harassing, or non-consensual content;
- mine cryptocurrency, run high-abuse network services, or perform resource-intensive workloads unless expressly approved for your plan;
- resell, sublicense, or provide public hosting from your Services unless your product or written agreement permits it;
- circumvent security, billing, metering, rate limits, access controls, or service restrictions;
- interfere with PixlFlip infrastructure, upstream providers, other customers, or the reputation of PixlFlip’s networks and domains.
We may investigate suspected abuse and may suspend or terminate Services immediately when needed to protect PixlFlip, other customers, upstream providers, payment processors, or the public.
7. User Content and Contributions
You retain ownership of content, data, files, messages, tickets, feedback, and materials you submit or host through the Services (“Customer Content”). You grant PixlFlip a limited license to host, store, transmit, reproduce, display, process, and use Customer Content solely as needed to provide, secure, support, improve, and enforce the Services and these Terms.
You represent that you have all rights needed for Customer Content and that Customer Content does not violate law, third-party rights, or these Terms. We may remove, disable, or restrict access to Customer Content when required by law, requested by a valid rights holder, necessary for security or abuse mitigation, or reasonably necessary to operate the Services.
8. Backups, Data, and Service Changes
Unless a Service expressly includes backups, you are responsible for maintaining your own backups. PixlFlip may provide snapshots, backups, monitoring, or recovery assistance when available or included, but no backup or restoration guarantee should be assumed unless specifically stated in your plan or written agreement.
We may perform maintenance, updates, migrations, emergency repairs, security changes, or network changes that affect the Services. We will try to minimize disruption where practical, but you acknowledge that infrastructure services may experience downtime, degradation, data loss, or configuration changes.
9. Support
Support availability and scope vary by Service. PixlFlip may provide support through the customer portal, email, Discord, tickets, or other designated channels. Support does not include unlimited custom development, third-party software administration, emergency incident response, data reconstruction, security cleanup, or business consulting unless included in your plan or agreed separately.
10. Intellectual Property
The Site, PixlFlip name, logos, designs, software, text, graphics, and other materials provided by PixlFlip are owned by or licensed to PixlFlip and are protected by intellectual property laws. You may not copy, reproduce, reverse engineer, resell, or exploit the Site or PixlFlip materials except as expressly allowed by these Terms or written permission.
11. Third-Party Services
The Site and Services may depend on or link to third-party providers, including payment processors, domain registrars, DNS providers, cloud providers, open-source software, communication platforms, and upstream network providers. We are not responsible for third-party services, policies, outages, security incidents, or changes except to the extent required by law.
12. Privacy
Please review our Privacy Policy, which explains how we collect, use, and protect information. By using the Site or Services, you consent to our handling of information as described in the Privacy Policy and as needed to provide and secure the Services. The Services are operated from the United States.
13. Copyright and DMCA Notices
We respect intellectual property rights. If you believe material available through PixlFlip infringes your copyright, contact us with enough information to identify the work, the allegedly infringing material, your contact information, a good-faith statement, a statement under penalty of perjury that the information is accurate, and your physical or electronic signature.
Copyright notices and counter-notices may be sent to pixlflip@pixlflip.net. Misrepresentations in copyright notices may create liability under applicable law.
14. Suspension and Termination
We may suspend or terminate your access to the Site or Services for nonpayment, security risk, abuse complaints, violation of these Terms, illegal activity, upstream provider requirements, payment processor requirements, or other conduct that may harm PixlFlip, customers, providers, or the public. Suspension or termination does not waive amounts owed.
After termination, data may be deleted according to operational retention limits, backup cycles, service configuration, or legal requirements. You are responsible for retrieving your data before cancellation, suspension, termination, or expiration whenever possible.
15. Disclaimers
THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY LAW. PIXLFLIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED OPERATION, ERROR-FREE OPERATION, DATA RETENTION, AND SECURITY EXCEPT WHERE EXPRESSLY STATED IN A WRITTEN AGREEMENT.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PIXLFLIP AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, PIXLFLIP’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO PIXLFLIP FOR THE AFFECTED SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
17. Indemnification
You agree to defend, indemnify, and hold harmless PixlFlip and its owners, employees, contractors, agents, affiliates, and providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your use of the Site or Services, Customer Content, violation of these Terms, violation of law, or violation of third-party rights.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles, unless another jurisdiction is required by applicable law. Before filing a formal claim, the parties agree to make a reasonable good-faith effort to resolve disputes informally by contacting each other.
Any legal action related to these Terms or the Services must be brought in a court with proper jurisdiction over PixlFlip and the dispute, unless applicable law requires otherwise. Claims must be brought individually and not as part of a class or representative action to the fullest extent permitted by law.
19. Changes to These Terms
We may update these Terms from time to time by posting a revised version on the Site and updating the “Last updated” date. Continued use of the Site or Services after updated Terms are posted means you accept the updated Terms.
